Acceptance of Terms
You represent and warrant that you are of legal age and authorized to enter into these Terms on behalf of your organization. Your use of the Services constitutes your acceptance of these Terms and your agreement to comply with them in full. -
Modifications
Wavey reserves the right to modify, update, or amend these Terms at any time, without prior notice. Continued use of the Services following any changes constitutes acceptance of the revised Terms. -
Ownership and Intellectual Property
All technology, software, algorithms, visual assets, text, and methodologies provided through the Services are the exclusive property of Wavey and protected by copyright, trade secret, and other applicable intellectual property laws. You may not copy, reproduce, reverse-engineer, disassemble, decompile, or create derivative works from any part of the Services. No license or right is granted under any intellectual property right by implication or otherwise. -
Confidentiality and Data Integrity
You agree not to disclose, misuse, or exploit any confidential information obtained through your use of the Services. This includes, but is not limited to, outputs, reports, performance diagnostics, models, source code, or proprietary insights generated by or through Wavey. Wavey agrees to treat your uploaded data and proprietary materials with appropriate confidentiality and technical safeguards in accordance with our [Privacy Policy]. -
User Responsibility for Compliance
If you or your organization are working under specific regulatory, legal, client, or confidentiality constraints (including but not limited to NDAs, pharma regulations, HIPAA, FINRA, or internal review requirements), it is your responsibility to: Disclose any relevant constraints or limitations to Wavey, and ensure that the use of Wavey’s outputs and Services complies with such constraints.
Wavey does not assume liability for any failure to adhere to such requirements unless explicitly agreed upon in a written contract. -
Limitations of the Technology
Wavey leverages advanced AI/ML models to generate insights based on user-provided inputs and data. You understand and acknowledge that: Outputs are probabilistic and not guaranteed to be accurate, complete, or contextually appropriate; Outputs should be reviewed and validated by qualified professionals prior to client presentation or external use;
Wavey may occasionally generate errors, inconsistencies, or unintended interpretations.
You assume full responsibility for the use and application of all outputs. Wavey shall not be held liable for any damages, decisions, or consequences arising from reliance on such outputs. -
Prohibited Use
You agree not to:- Use the Services for unlawful, deceptive, defamatory, or malicious purposes;
- Use Wavey to train, benchmark, or reverse-engineer competing technologies;
- Violate the rights of any third party, including intellectual property, privacy, or contractual rights;
- Submit harmful code, malware, or conduct cyber attacks through the platform.
Any unauthorized or prohibited use may result in suspension or termination of access without notice and may be subject to civil or criminal liability.

Service Availability and Maintenance
Wavey may from time to time perform maintenance, updates, or experience temporary outages. We make no guarantees regarding uptime or uninterrupted service, and we reserve the right to alter or suspend Services without liability. -
Data Security and Privacy
We implement commercially reasonable technical, administrative, and physical safeguards to protect your data. However, no system is completely secure, and you acknowledge that use of the Services involves inherent risks. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR UNINTERRUPTED OPERATION. -
Limitation of Liability
To the fullest extent permitted by law, Wavey shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, loss of data, or reputational harm, even if we have been advised of the possibility of such damages. In no event shall our aggregate liability exceed the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim. -
Termination
Wavey may suspend or terminate your access to the Services at its sole discretion, without notice, if you violate these Terms or misuse the platform in any way. Upon termination, all licenses and rights granted herein immediately cease. -
Governing Law and Jurisdiction
These Terms shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in [Insert County], and you consent to exclusive jurisdiction and venue in those courts. -
Entire Agreement

Billing, Refunds, and Cancellation
Wavey operates on a subscription basis. By subscribing to the Services, you agree to pay all fees in accordance with the pricing and billing terms presented at the time of purchase. All payments are non-refundable. Once your account is billed for a given billing cycle (monthly or annual), no refunds or credits will be issued for partial use, inactivity, or unused Services. You may cancel your subscription at any time. To avoid being charged for the next billing cycle, cancellation must be completed at least one (1) calendar day prior to the start of the next billing period. Cancellations made on or after the billing date will apply to the subsequent billing cycle. Upon cancellation, your access to the Services will continue through the remainder of your current paid period, after which it will be terminated. Wavey reserves the right to modify pricing and subscription terms with prior notice, in accordance with applicable law. -
